Terms of Service

By accessing or using the COD LATINO platform (“Platform”), operated by COD LATINO LLC (“COD LATINO”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform.

COD LATINO provides an end-to-end cash-on-delivery ecommerce operations platform for Latin America, including but not limited to:

• Product sourcing and import management
• Warehousing and inventory management
• Call-center order confirmation
• Last-mile delivery coordination
• Cash collection and settlement

To use the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Accounts are activated manually at our discretion.

As a merchant using our Platform, you agree to:

• Provide accurate product information and pricing
• Comply with all applicable laws in the markets you operate in
• Not use the Platform to sell prohibited, illegal, or counterfeit goods
• Respond promptly to operational communications from COD LATINO
• Maintain valid payment and payout information

Fees for our services are communicated during onboarding and may vary by market, volume, and service tier. We reserve the right to modify fees with reasonable advance notice. Settlement of collected cash-on-delivery funds is processed on the cycle communicated to you, subject to successful reconciliation.

Orders are subject to our confirmation process before dispatch. We reserve the right to decline or cancel orders that fail verification, appear fraudulent, or violate our policies. Delivery timelines are estimates and may vary based on carrier performance and local conditions.

The Platform, including its design, features, content, and underlying technology, is owned by COD LATINO and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written consent.

To the maximum extent permitted by law, COD LATINO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless COD LATINO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

Either party may terminate the account relationship at any time. We may suspend or terminate your access to the Platform immediately if you breach these Terms, engage in fraudulent activity, or for any other reason at our reasonable discretion. Upon termination, outstanding settlements will be processed according to the standard cycle.

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Sheridan County, Wyoming.

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We will notify you of material changes via email or through the Platform.
